1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and PGB Logistics Inc ("Company," "we," "us," or "our"), governing your access to and use of the website pbg-us.com and all courier and logistics services provided by PGB Logistics Inc.

By accessing our website, submitting a service request, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services.

2. Services Provided

PGB Logistics Inc provides the following services throughout the state of California:

• Courier Service: Same-day and scheduled pickup and delivery of documents, packages, and freight within California
• Logistics Management: End-to-end supply chain planning, route optimization, scheduling, and coordination for businesses
• Related Services: Any ancillary services agreed upon in writing between PGB Logistics Inc and the Customer

Services are subject to availability and geographic coverage within California. We reserve the right to decline any service request at our discretion.

3. Service Requests and Quotes

Submitting a quote request through our website or contacting us does not constitute a binding service agreement. A service agreement is formed only when:

• We provide a written or verbal confirmation of your service request
• You accept the quoted price and service terms
• Payment arrangements are confirmed

All quotes are valid for 7 days from the date of issuance unless otherwise stated. Prices are subject to change based on fuel costs, route changes, or other operational factors.

4. Customer Responsibilities

By using our services, you agree to:

• Provide accurate pickup and delivery addresses, contact information, and package descriptions
• Ensure packages are properly prepared, packaged, and labeled for transport
• Ensure an authorized person is available at pickup and delivery locations as required
• Comply with all applicable laws regarding the shipment of goods
• Not ship prohibited items (see Section 5)
• Pay all applicable fees in a timely manner

5. Prohibited Items

The following items may not be shipped using PGB Logistics Inc services:

• Illegal substances, controlled substances, or drug paraphernalia
• Firearms, ammunition, or explosive materials without proper licensing and prior written approval
• Hazardous materials not properly declared and packaged per federal and state regulations
• Perishable goods without prior arrangement and appropriate packaging
• Cash, currency, or negotiable instruments
• Live animals without prior written approval
• Any items prohibited by federal, California state, or local law

6. Pricing and Payment

Pricing for our services is determined based on factors including distance, package size and weight, service type, and special handling requirements. All prices are quoted in U.S. dollars.

• Payment is due upon completion of service unless credit terms have been established in writing
• Business accounts may be eligible for invoicing with net-15 or net-30 payment terms upon approval
• We accept major credit cards, ACH transfers, and other payment methods as specified at the time of service
• Late payments may be subject to a 1.5% monthly finance charge
• Returned checks are subject to a $35 returned check fee

7. Cancellations and Changes

Cancellation and modification policies are as follows:

• Same-day cancellations: Cancellations made less than 2 hours before scheduled pickup may be subject to a cancellation fee of up to 50% of the quoted service price
• Advance cancellations: Cancellations made more than 2 hours before scheduled pickup are generally not subject to a fee
• Route changes: Changes to pickup or delivery addresses after dispatch may incur additional charges

8. Liability and Claims

PGB Logistics Inc takes the utmost care with every shipment. However, our liability is limited as follows:

• Our maximum liability for loss or damage to any single shipment is limited to the lesser of the actual value of the goods or $100 per shipment, unless additional coverage has been arranged in advance
• We are not liable for indirect, consequential, special, or punitive damages
• We are not liable for delays caused by weather, traffic, accidents, or other circumstances beyond our reasonable control
• Claims for loss or damage must be submitted in writing within 5 business days of the scheduled delivery date

9. SMS Communications

By providing your mobile phone number and consenting to SMS communications, you agree to receive text messages from PGB Logistics Inc related to your service requests, delivery updates, and account communications.

• You may opt out at any time by replying STOP to any SMS message
• Message and data rates may apply depending on your carrier
• SMS consent is not required to use our services

10. Intellectual Property

All content on pbg-us.com, including but not limited to text, graphics, logos, images, and software, is the property of PGB Logistics Inc and is protected by applicable intellectual property laws. You may not reproduce, distribute, or create derivative works from our content without prior written permission.

11. Disclaimer of Warranties

Our services and website are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not warrant that our website will be uninterrupted or error-free, or that defects will be corrected.

12. Limitation of Liability

To the fullest extent permitted by applicable law, PGB Logistics Inc shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of our services or website.

Our total cumulative liability to you for any claims arising from or related to these Terms or our services shall not exceed the total amount paid by you to us in the 30 days preceding the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless PGB Logistics Inc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of our services, your violation of these Terms, or your violation of any rights of another party.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in California.
